These Terms and Conditions ("Terms") govern your use of services provided by Whiteboard Consultancy ("we", "our", or "us"). By engaging our services or accessing our website, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our services.

 

1. Services

Whiteboard Consultancy provides professional consulting services tailored to client needs. The scope, fees, and deliverables for services will be outlined in a written agreement or proposal.

We reserve the right to decline or discontinue services at our discretion, including in cases of breach of these Terms or unethical conduct.

 

2. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information relevant to the services

  • Cooperate in a timely and professional manner

  • Fulfill any obligations or deliverables required to facilitate service delivery

  • Make payments on time as agreed

Failure to meet these responsibilities may impact our ability to provide services and may result in termination of service.

 

3. Fees and Payment

Fees for services will be clearly communicated in a written agreement, proposal, or invoice.

  • Payments are due on the terms specified (e.g., upon receipt, net 15/30).

  • Late payments may be subject to interest charges at 1.5% per month (18% annually).

  • All prices are in Canadian Dollars (CAD) unless otherwise stated.

  • Additional expenses (e.g., travel, materials) may be invoiced with prior client approval.

 

4. Intellectual Property

Unless otherwise agreed in writing:

  • All materials, documents, and deliverables created by Whiteboard Consultancy remain our intellectual property until full payment is received.

  • Clients may use final deliverables solely for their intended business purposes.

  • You may not reproduce, sell, or redistribute our work without our express written permission.

 

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information exchanged during the engagement. This includes business plans, trade secrets, financials, and personal information.

Exceptions apply if:

  • Required by law or court order

  • Information is publicly available or already known without breach

6. Limitation of Liability

To the fullest extent permitted by law:

  • Whiteboard Consultancy shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of our services.

  • Our total liability is limited to the fees paid by you for the specific service in question.

 

7. Termination

Either party may terminate services with written notice. In such cases:

  • You are responsible for paying all fees for work completed up to the date of termination.

  • We reserve the right to retain intellectual property or cease delivery of work if accounts remain unpaid.

 

8. Use of Website and Content

All content on our website is for informational purposes only and is subject to change without notice. You may not use, modify, or distribute any site content without our permission.

Unauthorized use of this website may give rise to a claim for damages and/or be a criminal offence.

 

9. Governing Law

These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada. Any disputes arising shall be resolved in the courts of Calgary, Alberta.

 

10. Amendments

We reserve the right to update or revise these Terms at any time. Changes will be posted on our website and are effective immediately upon posting.
